1. Who these terms are between
These Referral Program Terms ("Referral Terms") govern your participation in the Lizard Reviews referral program (the "Program"), described on lizardreviews.com/referral-program. The Program is operated by Lizard Reviews, contactable at petr@lizardreviews.com ("we," "us," "the Operator"). You are the person or business registering a referral ("you," "the Referrer"). By submitting the registration form, you accept these Referral Terms.
Operator legal entity: Carplo s.r.o., company registration number (IČO) 07001037, registered address Písčitá 470, Hostavice, 198 00 Praha 14, Czech Republic.
The Service that referred businesses buy from us is governed separately by our Terms and Conditions. Nothing in these Referral Terms changes the terms between us and a referred business.
2. What the Program is
You introduce a business to us. If that business becomes a paying client of our Google review removal service, we pay you a commission on the fees we receive from it, as set out below. Joining is free. The Program is non-exclusive: you may refer as many businesses as you like, and we may work with other referrers and with agency partners.
3. Eligibility and exclusions
You must be at least 18 years old, or a business entity, and able to receive payment lawfully. The following do not earn commission under the Program:
- Self-referrals. The referred business itself, its owners, managers and employees, and any business you own, manage or work for.
- Existing partners. Agencies and other partners who already have a written agreement with us. Their commercial terms are set out in that agreement, which takes precedence over these Referral Terms.
- Existing relationships. Businesses that are already our clients, or that were already in discussion with us when you registered them.
If you are bound by professional rules that restrict referral fees (for example attorneys under ABA Model Rule 7.2(b) or equivalent rules in your jurisdiction, and some financial or medical professionals), you are responsible for checking whether you may accept a commission. If you may not, tell us and we will agree a non-cash alternative, or no payment at all.
4. Registering a referral and attribution
You register a referral by submitting the form on the Program page, or by emailing us the same details. You provide the business name and a business email address, and you may add the Google review or profile link and a short note.
Before you register a business, you must have told its owner or manager that you are introducing them to us. You must share only business contact details, and only details you are entitled to share.
We confirm by email within 24 hours whether a referral is accepted. We may turn a referral down because the business is already our client or already in discussion with us, because someone else registered it first, because it is ineligible under section 3, or because we cannot reach it.
Attribution works as follows. The first valid registration for a business wins. If a business names you when it contacts us on its own, we treat you as the referrer, unless another valid registration came first. A business has one referrer at a time. Attribution lasts for the 12-month period described in section 5.
5. Commission
We pay you 10% of Net Fees on Qualifying Cases.
- Net Fees are the amounts we actually receive from the referred business for a Qualifying Case, in the currency we invoiced, excluding value added tax and other sales taxes, bank and transfer charges, and any amount that is refunded, charged back or credited.
- Qualifying Cases are removal cases that the referred business submits to us during the 12 months starting on the date we accept its first case, that we accept, that Google confirms removed, and that the business pays for. Declined cases, unpaid invoices and reviews that are not removed do not earn commission.
For example, if a referred business pays $450 for one removed review, your commission is $45. Examples are for illustration and no earnings are guaranteed. We set our own prices, discounts and acceptance decisions, and the commission follows from what the business actually pays.
6. Payment, statements and tax
We pay commission monthly, within 30 days after the end of the month in which we received the referred business's payment. The minimum payout is $50. Smaller balances carry forward until they reach the minimum, and any remaining balance is paid on request when you leave the Program.
We pay by SEPA transfer, international wire or stablecoin (USDC or USDT), as agreed with you. You bear the fees your own bank or wallet charges. We pay in US dollars, or in euros at the European Central Bank reference rate on the payment date if you ask for that. We ask for payee details only when your first commission becomes due.
If you are a business, you send us an invoice for the amount we state. If you are an individual, we pay against our statement. You are responsible for your own taxes. You will give us the details we reasonably need for tax and compliance purposes, and we may withhold or deduct amounts where the law requires. We may delay or refuse a payment where it would breach sanctions or other applicable law.
7. Refunds and clawbacks
If a referred business is refunded, or reverses a payment, the commission on that amount is reversed. If we have already paid you commission on an amount that is later refunded or charged back, we may deduct it from future commission or ask you to repay it within 30 days.
8. How you may promote us
You may introduce us privately, and you may mention us on your own website, newsletter or social channels, as long as what you say is true. When you recommend us publicly, you must disclose clearly, next to the recommendation, that you may earn a commission if the reader hires us. This follows the rules on endorsements in the countries we serve, such as the FTC Endorsement Guides in the United States and the consumer-protection rules enforced by the CMA and ASA in the United Kingdom.
You must not:
- make false or misleading claims, or promise outcomes we have not promised (we cannot remove rating-only reviews and we accept or decline every case individually);
- claim or imply any inside connection at Google;
- present yourself as Lizard Reviews, or as our employee, agent or partner, or use our name or logo as your own brand or in a domain name;
- send unsolicited bulk messages, or use any other spam method to reach businesses;
- run paid advertising that uses our brand name or bids on it as a keyword;
- post fake reviews about us, or ask anyone to post reviews conditioned on a particular sentiment;
- register a business you know is asking us to remove a truthful review by misrepresenting it as fake.
9. Data about referred businesses
You confirm that you are entitled to share the business contact details you submit and that you have told the business about the introduction. We use those details only to contact the business about the introduction and to attribute and pay commission. We tell the business that you introduced it. We handle personal data under our Privacy Policy.
The referred business's case details are confidential. We tell you whether your referral was accepted and give you commission statements, but we do not share review links, case content or the business's own correspondence with you. We do not share your details with the business beyond your name as the referrer.
10. Methodology confidentiality
As in our Terms and Conditions, we do not publish or disclose the specific methods we use to achieve removal, and referrers are not entitled to details of them.
11. Independent relationship
You are an independent referrer. Nothing in these Referral Terms makes you our employee, agent, partner or franchisee, and you have no authority to bind us or to agree terms, prices or promises on our behalf.
12. Our rights
We decide whether to accept any case and the price and terms of our Service. You have no right to commission on cases we decline. We may suspend or end your participation, and withhold unpaid commission that relates to the breach, if you breach these Referral Terms, act fraudulently, make misleading claims about us, or refer in a way that damages our reputation. Commission already earned on properly attributed, paid cases remains payable, except where it arose from the breach or fraud.
13. Changes to the Program and to these terms
We may change these Referral Terms, the commission rate or the Program itself. We give at least 30 days' notice on the Program page or by email. Changes apply to referrals registered after the effective date. Referrals registered before that date continue under the terms in force when they were registered, for their full 12-month period. Material changes are reflected in the "last updated" date at the top of this page.
14. Leaving the Program
You may stop referring at any time. Leaving does not affect commission on referrals you already registered, which continues for their 12-month period. We may end the Program with 30 days' notice, and we will pay all commission earned and still falling due under referrals registered before the end date.
15. Limitation of liability
To the maximum extent permitted by law, our total liability to you arising out of or related to the Program is limited to the commission owed to you, and we are not liable for indirect, incidental or consequential damages, including lost profits or lost opportunities. We do not guarantee that any referral will result in a case or in any commission.
16. Governing law
These Referral Terms are governed by the laws of the Czech Republic. Any dispute that cannot be resolved informally will be submitted to the courts of Prague, Czech Republic. Nothing in this section limits any statutory consumer protection rights you may have in your country of residence that cannot be waived by contract.
